Terms of Use
These terms govern your use of Ximplex — how subscriptions work, what you may and may not do with the service, who owns the data in it, and where responsibility sits.
Last updated 27 August 2026
1. Agreement to these terms
These terms are a contract between you and [Legal entity name] ([RC number]), registered at [Registered address]. They govern your use of the Ximplex application, website and related services.
By creating an account or using the service you accept these terms. If you are accepting on behalf of a business, you confirm that you are authorised to bind that business, and 'you' means the business.
If you do not accept these terms, do not use the service.
2. Eligibility and your account
You must be at least 18 and legally able to enter into a contract. You must give accurate registration details and keep them current.
You are responsible for everything that happens under your account, including actions taken by users you invite. Keep your credentials confidential, enable multi-factor authentication where offered, and tell us promptly if you suspect unauthorised access.
You control the roles and permissions granted to your team. We are not responsible for what a user you have authorised does within the access you gave them.
3. Subscriptions, billing and trials
Ximplex is sold as a subscription. The plan you select, its price and its billing period are shown at the point of purchase and in your account settings. Prices are stated in Nigerian Naira and are exclusive of VAT unless stated otherwise.
Subscriptions renew automatically at the end of each billing period unless you cancel before it ends. Cancelling stops the next renewal; it does not refund the period already paid for.
Where a free trial is offered, the terms of that trial are stated when you start it. We may change our prices, and will give at least 30 days' notice before a change affects an existing subscription.
If a payment fails we may suspend access until it is settled. Accounts that remain unpaid may be closed, subject to the retention terms below.
4. Acceptable use
You agree not to:
- Use the service for anything unlawful, or to record transactions you know to be false or fraudulent.
- Attempt to gain unauthorised access to the service, other customers' data, or our infrastructure.
- Probe, scan or test the security of the service without our prior written consent.
- Copy, resell, sublicense or white-label the service without our agreement.
- Reverse engineer or attempt to derive the source code of the service, except where that restriction is prohibited by law.
- Upload malware, or content that infringes another party's rights.
- Place unreasonable load on the service, or circumvent usage limits attached to your plan.
We may suspend access immediately where use of the service threatens its security, availability or legality.
5. Your data
You own the financial records, documents and other content you put into Ximplex. We claim no ownership over them.
You grant us the limited licence needed to host, process, back up and display that content in order to run the service for you, and to produce aggregated statistics that do not identify you or any individual.
You are responsible for the accuracy of what you enter, and for having the right to provide any personal data about third parties. Our handling of personal data is described in the Privacy Policy.
You can export your data at any time while your account is active.
6. Bank connections and third-party services
Bank connections are provided by [licensed open-banking partner], and payments are handled by our payment processor. Your use of those services is also subject to their own terms.
We are not responsible for the availability or accuracy of data supplied by a bank or a third-party provider. Imported transactions should be reviewed before you rely on them.
7. Ximplex is not professional advice
Ximplex is a tool for recording and organising financial information. It is not accounting, tax, audit or legal advice, and using it does not create a professional-client relationship.
Tax calculations, compliance indicators and reports produced by the service are aids, not determinations. You remain responsible for the accuracy of your books, for the returns and filings you submit, and for meeting your obligations to the Federal Inland Revenue Service, state tax authorities, your pension administrator and any other regulator.
Where the position matters, take advice from a qualified accountant or tax adviser before acting.
8. Availability and support
We aim to keep the service available at all times, but we do not guarantee uninterrupted access. Maintenance, third-party outages and events outside our control can interrupt it. Where planned maintenance is likely to be disruptive we will give notice in advance.
Support is provided through the channels described on our Learn & Support page, during our published hours and at the level attached to your plan.
9. Our intellectual property
The Ximplex software, brand, design and documentation belong to us or our licensors. These terms grant you a limited, non-exclusive, non-transferable right to use the service for the duration of your subscription, and nothing more.
Feedback you send us may be used to improve the service without obligation or payment to you.
10. Suspension and termination
You can cancel your subscription at any time from your account settings.
We may suspend or terminate your access if you materially breach these terms, if your account is used unlawfully, or if payment remains outstanding. Where circumstances allow, we will give notice and an opportunity to put the breach right.
After termination we retain your records for the period set out in the Privacy Policy, so that you can export them and so that we meet our own legal obligations. Provisions that by their nature should survive termination will do so.
11. Disclaimers
The service is provided on an 'as is' and 'as available' basis. To the fullest extent permitted by law, we exclude all implied warranties, including fitness for a particular purpose and non-infringement.
We do not warrant that the service will be error-free, that defects will be corrected, or that any report or calculation it produces is complete or correct for your circumstances.
12. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect or consequential loss, loss of profit, loss of business, or loss of anticipated savings.
Our total liability arising out of or in connection with these terms is limited to the subscription fees you paid in the 12 months before the event giving rise to the claim.
Nothing in these terms excludes liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot lawfully be excluded.
13. Indemnity
You agree to indemnify us against claims, losses and reasonable costs arising from your unlawful use of the service, your breach of these terms, or content you have uploaded that infringes a third party's rights.
14. Governing law and disputes
These terms are governed by the laws of the Federal Republic of Nigeria.
If a dispute arises, both parties will first attempt to resolve it in good faith. If that fails within 30 days, the dispute will be submitted to the courts of Nigeria, which have exclusive jurisdiction.
15. Changes to these terms
We may update these terms as the service changes. The date at the top of this page shows when they were last revised. Where a change materially affects your rights we will give notice before it takes effect, and continuing to use the service after that date means you accept the revised terms.
